Welcome to VibeHQ. These Terms of Service govern your use of our website and services. By accessing or using our services, you agree to be bound by these terms.

Acceptance of Terms
By accessing and using VibeHQ's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
Services Description
VibeHQ provides AI-accelerated application development services, including:
- Rapid Prototyping: 2-3 week prototype development ($15K-$35K)
- Full Application Development: 3-6 month production app delivery ($60K-$200K)
- Ongoing Support & Consulting: Maintenance and strategic advisory ($5K-$15K/mo)
- Investment Readiness: Fundraising preparation services ($10K-$25K)
User Responsibilities
As a user of our services, you agree to:
- Provide accurate and complete information
- Maintain the confidentiality of your account credentials
- Notify us immediately of any unauthorized use of your account
- Use our services only for lawful purposes
- Not interfere with or disrupt our services or servers
- Not attempt to gain unauthorized access to any portion of our services
- Comply with all applicable local, state, national, and international laws
Intellectual Property Rights
Our Property
The service and its original content, features, and functionality are and will remain the exclusive property of VibeHQ. Our trademarks and trade dress may not be used without our prior written consent.
Client Work Product
Upon full payment, clients receive full ownership rights to custom code and designs created specifically for their project. We retain the right to use generic components, frameworks, and methodologies in future projects.
Portfolio Rights
We reserve the right to display completed projects in our portfolio and marketing materials unless otherwise agreed in writing.
Payment Terms
Rapid Prototyping
50% upfront, 50% on delivery. Payment due within 7 days of invoice.
Full Application Development
30% at project kickoff, 40% at mid-project milestone, 30% at launch. Payment due within 14 days of invoice.
Ongoing Support Retainers
Monthly billing in advance. 3-6 month minimum commitment. Auto-renewal unless cancelled with 30 days notice.
Late Payments
Late payments may incur a fee of 1.5% per month. We reserve the right to suspend services for accounts more than 30 days overdue.
Project Scope & Change Requests
Project scope is defined in the Statement of Work (SOW). Changes to scope require written approval and may result in additional fees and timeline adjustments.
We use a formal change request process with impact assessment for timeline and budget. Minor adjustments within the original scope are accommodated without additional charges.
Warranties & Disclaimers
Our Warranty
We warrant that services will be performed in a professional and workmanlike manner. We provide a 30-day warranty period for bug fixes on delivered work.
Disclaimer
Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, timely, secure, or error-free.
Limitation of Liability
In no event shall VibeHQ be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use our services
- Any conduct or content of any third party on our services
- Any content obtained from our services
- Unauthorized access, use, or alteration of your transmissions or content
Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim, or $10,000, whichever is less.
Termination
Either party may terminate services with written notice. Termination terms vary by service type:
- Project-based work: Client pays for work completed to date plus reasonable wind-down costs
- Retainers: 30-day notice required; no refund for current month
- Immediate termination: We reserve the right to terminate immediately for breach of terms
Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of services. We implement industry-standard security measures to protect client data and intellectual property.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes may be submitted to binding arbitration or appropriate courts.
Changes to Terms
We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of our services after changes constitutes acceptance of the new Terms.
